# Holger Individual Contributor License Agreement
Version 1.1, 2026-10-29.
This agreement is adapted from the Apache Software Foundation Individual Contributor
License Agreement v2.2. It keeps that agreement's structure and standard clauses, and it
is changed for the two joint owners of Holger and for Holger's dual licence.
## In plain language
This summary is not part of the agreement. If the summary and the agreement differ, the
agreement applies.
1. **A copyright licence to the owners.** You give Ignalina ApS and Vetra Automation AB, who
own Holger jointly in equal shares, a perpetual, worldwide, non-exclusive, royalty-free
and irrevocable licence to use, copy, change and distribute your contribution, and to
license it to others under AGPL-3.0-only, under the commercial licence, or under both.
2. **A patent licence.** You give a licence to any patent of yours that your contribution
necessarily uses, for the contribution as you submitted it and as part of Holger.
3. **Your statement of origin.** You confirm that the contribution is your own work, or that
you have the right to submit it, and that your employer agrees where that is needed.
4. **No copyright transfer.** You keep the copyright in your contribution, and you may use
it in any other way you want. The owners are not obliged to accept or use it.
5. **Parts under MIT OR Apache-2.0.** A contribution to a part of Holger, such as a crate or
a file, that is licensed under MIT OR Apache-2.0 is also licensed under that part's
licence, in addition to the licence to the owners.
## How to accept
There is no CLA bot on the forge. There is one way to accept this agreement: in your
first pull request, add one line to the end of [CLA-SIGNATURES.md](CLA-SIGNATURES.md), in
this form:
```
- Jane Doe, forge account jdoe, 2026-11-02: I agree to CLA.md version 1.1
```
The line gives your full name, your account on the forge, the date, and the sentence
"I agree to CLA.md version 1.1". The commit that adds the line must be made by you and
carry your name. A contribution is not merged before its author's line is in
CLA-SIGNATURES.md.
You accept once. Your acceptance covers all your present and future contributions to
Holger. If this text changes, the new text gets a new version number, and it applies to you
only if you accept it.
Questions about the CLA: holger@holger.rs.
## The agreement
Thank you for your interest in Holger. Holger is owned jointly, in equal shares, by
Ignalina ApS and Vetra Automation AB (together "the Owners"). The Owners license Holger
under the GNU Affero General Public License version 3.0 only ("AGPL-3.0-only") and under
a commercial licence (see `COMMERCIAL-LICENSING.md`). To clarify the intellectual property
licence granted with Contributions from any person or entity, the Owners must have this
Contributor License Agreement ("Agreement") accepted by each Contributor, indicating
agreement to the licence terms below. This licence is for your protection as a Contributor
as well as the protection of the Owners and the users of Holger. It does not change your
rights to use your own Contributions for any other purpose.
You accept and agree to the following terms and conditions for Your present and future
Contributions submitted to the Owners. Except for the licences granted in this Agreement to
the Owners and to recipients of software distributed by the Owners, You reserve all right,
title and interest in and to Your Contributions. Nothing in this Agreement transfers the
copyright in Your Contributions to the Owners.
### 1. Definitions
"You" (or "Your") means the copyright owner, or the legal entity authorised by the
copyright owner, that is making this Agreement with the Owners. For legal entities, the
entity making a Contribution and all other entities that control, are controlled by, or
are under common control with that entity are considered to be a single Contributor. For
the purposes of this definition, "control" means (i) the power, direct or indirect, to
cause the direction or management of such entity, whether by contract or otherwise, or
(ii) ownership of fifty percent (50%) or more of the outstanding shares, or (iii)
beneficial ownership of such entity.
"Owners" means Ignalina ApS and Vetra Automation AB, the joint owners of Holger in equal
shares.
"Work" means the software and documentation known as Holger, owned by the Owners and kept
in the repository `nordisk/holger` on git.gunnar.rs.
"Contribution" means any original work of authorship, including any modifications or
additions to an existing work, that is intentionally submitted by You to the Owners for
inclusion in, or documentation of, the Work. For the purposes of this definition,
"submitted" means any form of electronic, verbal or written communication sent to the
Owners or their representatives, including but not limited to pull requests, commits,
patches, issues and e-mail sent to the repository, the issue tracker or the Owners, that
are managed by, or on behalf of, the Owners for the purpose of discussing and improving
the Work, but excluding communication that is conspicuously
marked or otherwise designated in writing by You as "Not a Contribution".
### 2. Grant of copyright licence
Subject to the terms and conditions of this Agreement, You hereby grant to the Owners a
perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright
licence to use, reproduce, prepare derivative works of, publicly display, publicly
perform and distribute Your Contributions and such derivative works, and to sublicense
and license them to others under AGPL-3.0-only, under the Owners' commercial licence, or
under both.
Where a Contribution is made to a part of the Work, such as a crate or a file, that is
licensed under the MIT License or the Apache License, Version 2.0, at the recipient's
option ("MIT OR Apache-2.0"), You also license that Contribution to every recipient under
that part's licence, MIT OR Apache-2.0. This licence is in addition to, and does not limit,
the licence granted to the Owners in this section.
### 3. Grant of patent licence
Subject to the terms and conditions of this Agreement, You hereby grant to the Owners and
to recipients of software distributed by the Owners a perpetual, worldwide,
non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section)
patent licence to make, have made, use, offer to sell, sell, import and otherwise
transfer the Work, where such licence applies only to those patent claims licensable by
You that are necessarily infringed by Your Contribution(s) alone, as You submitted them,
or by combination of Your Contribution(s) with the Work to which such Contribution(s) was
submitted. If any entity institutes patent litigation against You or any other entity
(including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution,
or the Work to which You have contributed, constitutes direct or contributory patent
infringement, then any patent licences granted to that entity under this Agreement for
that Contribution or Work shall terminate as of the date such litigation is filed.
### 4. Your right to grant the licences
You represent that You are legally entitled to grant the above licences. If Your employer
or employers have rights to intellectual property that You create that includes Your
Contributions, You represent that You have received permission to make Contributions on
behalf of that employer, or that Your employer has waived such rights for Your
Contributions to the Owners.
### 5. Origin of Your Contributions
You represent that each of Your Contributions is Your original creation (see section 7
for submissions on behalf of others). You represent that Your Contribution submissions
include complete details of any third-party licence or other restriction (including, but
not limited to, related patents and trademarks) of which You are personally aware and
which are associated with any part of Your Contributions.
### 6. No support and no warranty
You are not expected to provide support for Your Contributions, except to the extent You
desire to provide support. You may provide support for free, for a fee, or not at all.
Unless required by applicable law or agreed to in writing, You provide Your Contributions
on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or
implied, including, without limitation, any warranties or conditions of TITLE,
NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.
### 7. Work that is not Your original creation
Should You wish to submit work that is not Your original creation, You may submit it to
the Owners separately from any Contribution, identifying the complete details of its
source and of any licence or other restriction (including, but not limited to, related
patents, trademarks and licence agreements) of which You are personally aware, and
conspicuously marking the work as "Submitted on behalf of a third party: [named here]".
### 8. No obligation to use Contributions
The Owners are under no obligation to accept, include or use any Contribution.
### 9. Notice of inaccuracies
You agree to notify the Owners of any facts or circumstances of which You become aware
that would make these representations inaccurate in any respect.
